The Dutch foundation (“Stichting”) bears some resemblance to the US foundation, however, contrary to its US counterpart the purpose of a Stichting is not solely limited to charitable causes. In a way, a Stichting functions similar as the common law trust. A Stichting has no members or shareholders and is not allowed to make distributions to founders or its board of directors. Distributions to others must have a charitable or non-commercial purpose. A Stichting can be engaged in commercial activities. The foundation of a Stichting takes place by notarial deed and can be accomplished on short notice. A Stichting is often used as administrative office for the issuance of depositary receipts of shares of a corporate entity of which it holds the shares. In this way it is possible to create a split between legal- (held by the Stichting) and beneficial ownership (held by the holders of the depositary receipts) of the corporate entity. This makes the Stichting an ideal solution for a range of complex personal and corporate situations.
